These Terms of Use (the “Terms”) govern your access to and use of the HeyTop AI website, user accounts, browser extensions, artificial intelligence tools, document-processing features, content-generation tools, subscriptions, credits, and any other products or services that we may provide from time to time (collectively, the “Services”).

Please read these Terms carefully before accessing, registering for, purchasing, or using the Services.

By accessing or using HeyTop AI, creating an account, purchasing a subscription or credits, or otherwise using any of our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not access or use HeyTop AI.

1. Description of the Services

HeyTop AI is an artificial intelligence-powered platform that provides a range of tools for productivity, research, content creation, communication, and document processing.

Our Services may include, without limitation:

• AI chat and conversational assistance;
• AI writing, rewriting, translation, and summarization;
• document analysis and ChatPDF features;
• PDF, Word, TXT, webpage, and other supported document processing;
• research and information organization;
• text-to-image and image-to-image generation;
• AI image editing, enhancement, and transformation;
• background removal or replacement;
• portrait and photo editing tools;
• virtual try-on and other image-based creative tools;
• text-to-video, image-to-video, and other AI video-generation features;
• AI video editing;
• AI presentation and PowerPoint generation;
• PDF-to-PPT, Word-to-PPT, text-to-PPT, and related document conversion;
• AI voice, text-to-speech, music, and other audio-related tools;
• browser extensions and sidebar tools;
• access to third-party artificial intelligence models; and
• other AI-powered features that we may introduce from time to time.

Certain features may rely on third-party AI models, cloud infrastructure, payment providers, authentication providers, storage providers, or other technology services.

The specific features, AI models, prices, usage limits, generation speeds, output specifications, export options, and other service details available to you are those displayed on the applicable product page, pricing page, subscription page, or checkout page.

We may modify, add, replace, restrict, suspend, or discontinue certain features or models due to product development, technical requirements, third-party provider changes, security concerns, legal requirements, or other reasonable operational reasons.

2. Eligibility

You must be at least 13 years old, or meet any higher minimum age required under applicable law in your country or region, to use HeyTop AI.

If you are under 18 years old or have not reached the legal age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian where required by applicable law.

You must have the legal capacity required under applicable law to independently purchase paid Services or enter into a subscription agreement.

If you use HeyTop AI on behalf of a company, institution, organization, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.

3. User Accounts

Certain HeyTop AI features may be available without registration, while other features may require you to create or sign in to an account.

When creating an account, you must provide accurate, complete, and current information.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• protecting the security of your account;
• all activity conducted through your account; and
• promptly notifying us if you become aware of unauthorized access.

You may not sell, rent, transfer, sublicense, or knowingly allow unauthorized third parties to use your account.

We may reasonably restrict, suspend, or terminate accounts associated with fraud, abuse, security risks, violations of these Terms, violations of applicable law, attempts to circumvent usage limits, or activity that may harm HeyTop AI, other users, service providers, or third parties.

4. Free Services, Credits, and Paid Services

HeyTop AI may provide free Services, free credits, trial credits, promotional credits, subscriptions, prepaid credit packages, pay-as-you-go options, and other paid Services.

Free Services may differ from paid Services in areas including:

• available AI models;
• usage limits;
• message limits;
• document-processing limits;
• image-generation limits;
• video-generation limits;
• file-size limits;
• generation speed;
• output resolution;
• export capabilities;
• history retention; and
• premium features.

Free, trial, or promotional credits may be subject to expiration dates, usage restrictions, or separate promotional conditions.

Unless expressly stated otherwise, free or promotional credits:

• have no cash value;
• cannot be transferred;
• cannot be redeemed for cash; and
• are not refundable.

We may adjust free usage limits or promotional allowances where reasonably necessary due to product changes, system capacity, third-party AI costs, security considerations, or other operational requirements.

5. Pricing and Purchase Information

Before you purchase any paid Service, the applicable pricing or checkout page will display material purchase information, which may include:

• the applicable price;
• whether the purchase is one-time or recurring;
• the billing period;
• the subscription type;
• included credits or usage allowances;
• applicable features;
• renewal conditions;
• applicable taxes or fees where required; and
• other material payment terms.

You are responsible for reviewing the purchase information before confirming payment.

We do not intend to charge users for a recurring subscription unless the recurring nature of the payment is disclosed before purchase.

A one-time purchase will not be converted into a recurring subscription without your authorization.

The actual prices and features applicable to a transaction are those displayed to you at the time you complete the purchase.

6. Subscriptions, Payments, and Automatic Renewal

HeyTop AI may offer monthly subscriptions, annual subscriptions, prepaid credit packages, or other paid plans.

If you purchase a monthly or annual subscription, the applicable price, included benefits, credits, usage allowances, validity period, and billing cycle will be those displayed on the checkout page.

If the checkout page clearly states that your subscription automatically renews, the subscription will automatically renew at the end of each billing period unless you cancel before the next billing period begins.

Upon renewal, we may charge the applicable subscription fee using the payment method you provided or selected when purchasing the subscription.

You may cancel your subscription through any subscription-management functionality provided by HeyTop AI.

After cancellation, your subscription will generally remain active until the end of the billing period for which you have already paid.

Cancellation does not automatically result in a refund and does not retroactively refund fees for Services that have already been paid for or used.

We may change future pricing, subscription structures, usage allowances, or included features.

Where required by applicable law, we will provide appropriate notice of material changes affecting existing subscriptions.

7. Refund Policy

Except where mandatory applicable law provides otherwise, the following Refund Policy applies to subscriptions and related paid Services purchased through HeyTop AI.

7.1 No Refund Once the Service Has Been Used

Under our Refund Policy, once you have begun using a purchased paid Service, the applicable fees are generally non-refundable.

“Use of the Service” includes, without limitation:

• using paid credits;
• sending paid requests to premium AI models;
• using subscription benefits;
• generating or editing images;
• generating or editing videos;
• processing or analyzing documents;
• creating or exporting presentations;
• using paid AI chat functions;
• using premium audio or voice functions; or
• otherwise accessing or consuming a paid feature or benefit.

Once actual use of a paid Service has occurred, temporary service interruptions, short-term technical problems, processing delays, temporary unavailability of third-party AI models, or other temporary instability will generally not create an entitlement to a refund.

Nothing in this section limits any refund, withdrawal, or consumer remedy that cannot legally be waived under applicable law.

7.2 Refunds Where the Service Has Not Been Used

If you have not used the purchased paid Service, you may request a refund subject to the following conditions.

Customers in the European Union or Turkey

If you reside in a Member State of the European Union or in Turkey and have not used the applicable paid Service, you may cancel your first subscription and request a refund within 14 days of your initial purchase.

This policy applies to both first-time monthly and annual subscriptions.

When submitting your refund request, please indicate that you are requesting a refund under the consumer protection rules applicable to the European Union or Turkey.

Where permitted by applicable law, if you expressly consent to the immediate provision of digital Services before the expiration of an applicable withdrawal period and have already begun using the relevant Services, your withdrawal or refund rights may be limited or terminated under applicable law.

If your account shows signs of fraud, unauthorized use, or other irregular activity, we may request reasonable purchase-related or identity-related documentation to process your refund request.

Customers in Other Countries or Regions

Monthly Subscriptions

If you have not used the applicable paid Service, you may request a refund within 24 hours after your first monthly subscription payment.

Please include the reason for your refund request.

Annual Subscriptions

If you have not used the applicable paid Service, you may request a refund within 72 hours after your first annual subscription payment.

Please include the reason for your refund request.

Requests submitted outside the above periods will no longer qualify for a refund unless mandatory applicable law provides otherwise.

7.3 Refund Amount

Payment service providers may charge non-refundable transaction, subscription-management, or payment-gateway fees when processing your payment.

Such fees may include:

• a 4.3% transaction processing fee;
• a 0.4‰ (0.04%) subscription management fee;
• a USD 1.00 payment gateway fee; and
• other applicable fees actually charged by the relevant payment service provider.

Accordingly, to the extent permitted by applicable law, if your refund request qualifies, the amount refunded to you may equal:

the original amount paid, less any applicable non-refundable fees already charged by the payment service provider.

These fees are charged by third-party payment service providers and are not additional refund fees imposed by HeyTop AI.

We do not control or reimburse fees that have already been charged and retained by the applicable third-party payment provider.

Where applicable law requires a full refund, the mandatory legal requirement will prevail.

7.4 Irregular Accounts and Refund Abuse

We aim to process legitimate refund requests fairly.

However, if we reasonably believe that an account is associated with:

• fraud;
• unauthorized payments;
• refund abuse;
• repeated refund requests;
• abusive chargebacks;
• violations of these Terms; or
• other irregular activity materially affecting refund eligibility,

we may, to the extent permitted by applicable law, deny a refund request or require additional information before completing our review.

If you have previously received a refund for our Services, we reserve the right to conduct additional review of, or deny, subsequent refund requests where reasonably necessary to prevent abuse.

This policy is intended to protect the fairness and integrity of our refund system.

7.5 Refund Processing Time

If your refund request qualifies under this Policy, we will generally complete our review and initiate the applicable refund within 7–10 business days after receiving a complete refund request.

The time required for the refunded amount to appear in your account may depend on your bank, card issuer, or third-party payment provider and may extend beyond the date on which HeyTop AI initiates the refund.

8. User Content

You may provide or upload text, prompts, images, photographs, video, audio, PDF files, Word documents, TXT files, webpages, presentations, reference materials, instructions, and other content through HeyTop AI (“User Content”).

You retain any rights you legally hold in your User Content.

By providing User Content, you represent and warrant that:

• you own the User Content or have obtained all necessary rights and permissions to use it;
• you have the right to authorize HeyTop AI to process the User Content;
• the User Content does not violate applicable law;
• the User Content does not infringe third-party intellectual property, privacy, publicity, personality, contractual, or other legal rights; and
• where the User Content contains another person's personal information, likeness, voice, private information, or copyrighted material, you have obtained any consent or authorization required by applicable law.

For the limited purpose of providing the Services you request, you grant HeyTop AI a limited, non-exclusive license to host, transmit, process, analyze, convert, modify, and otherwise use User Content as reasonably necessary to operate and secure the Services.

Our collection and processing of personal information and uploaded files are further described in our Privacy Policy.

9. Documents and Uploaded Files

HeyTop AI may allow users to upload documents and files for summarization, analysis, conversion, question answering, presentation generation, research, or other supported AI operations.

Uploaded content may include documents such as:

• PDFs;
• Word files;
• TXT files;
• presentations;
• reports;
• contracts;
• academic materials;
• research documents; and
• other supported files.

You should only upload information that you have the legal right and authority to process.

You should not upload confidential, regulated, trade-secret, or highly sensitive information unless you are authorized to do so and understand the processing required to provide the requested Service.

Uploading a document does not transfer ownership of that document to HeyTop AI.

Additional information concerning the processing, storage, retention, and deletion of uploaded files is provided in our Privacy Policy.

10. AI-Generated Content

Text, images, videos, presentations, audio, summaries, analyses, code, and other materials generated, edited, processed, or transformed through HeyTop AI are collectively referred to as “Generated Content” or “Output.”

You acknowledge that artificial intelligence systems are probabilistic and may produce unexpected or inaccurate results.

Generated Content may:

• contain factual errors;
• contain outdated information;
• omit important information;
• include inaccurate interpretations;
• contain bias;
• differ from your requested instructions;
• resemble content generated for another user;
• resemble existing third-party content;
• fail to qualify for copyright or other intellectual property protection; or
• be unsuitable for your intended purpose.

HeyTop AI does not guarantee that Generated Content is completely accurate, complete, unique, original, non-infringing, or legally protectable.

You are responsible for reviewing Generated Content before publishing, distributing, submitting, selling, advertising, commercially exploiting, or otherwise relying on it.

Generated Content does not necessarily represent the views, statements, or opinions of HeyTop AI or PARALLAXIS CO., LIMITED.

11. Commercial Use of Generated Content

Subject to these Terms, applicable law, and any restrictions applicable to the relevant AI model or feature, you may use Generated Content for lawful personal or commercial purposes.

This may include use in:

• marketing;
• social media;
• websites;
• presentations;
• internal business materials;
• creative projects; and
• other lawful commercial projects.

However, HeyTop AI does not guarantee that Generated Content:

• is free from third-party intellectual property rights;
• qualifies for copyright protection;
• can be registered as a trademark;
• is sufficiently original for a particular jurisdiction;
• is suitable for every commercial purpose; or
• is permitted for unrestricted commercial use under every third-party AI model's terms.

If a specific tool, AI model, product page, plan, or feature imposes separate commercial-use restrictions, those specific restrictions will apply.

You are responsible for determining whether your intended use is legally permitted.

12. Third-Party AI Models and Brand References

HeyTop AI may provide access to or integrate artificial intelligence models and technologies developed by third-party providers.

Third-party model names, company names, trademarks, logos, and product names remain the property of their respective owners.

Unless expressly stated otherwise, references to third-party AI models or providers do not mean that:

• HeyTop AI owns those third-party models;
• the third-party provider owns HeyTop AI;
• HeyTop AI is officially endorsed by that provider;
• that provider endorses HeyTop AI; or
• a formal partnership exists between HeyTop AI and that provider.

Third-party models may be subject to their own terms, content policies, technical restrictions, licensing terms, and availability requirements.

Model availability, pricing, performance, capabilities, or access may change because of third-party provider changes or other circumstances outside our complete control.

We do not guarantee permanent availability of any specific third-party AI model.

13. High-Risk and Professional Uses

HeyTop AI is designed as an AI productivity, research, and creative assistance platform.

Generated Content should not be relied upon as the sole basis for professional, legal, financial, medical, safety-related, or other high-risk decisions.

In particular, HeyTop AI Output should not be treated as a substitute for:

• professional medical advice;
• diagnosis or treatment;
• professional legal advice;
• professional financial or investment advice;
• tax advice;
• regulatory advice;
• official government information;
• employment eligibility decisions;
• credit decisions;
• insurance decisions;
• identity verification; or
• safety-critical instructions.

Where appropriate, you should independently verify information and consult a qualified professional.

14. Prohibited Uses

You may not use HeyTop AI for unlawful, fraudulent, harmful, infringing, deceptive, or abusive purposes.

You may not use the Services to:

• violate applicable law or regulation;
• infringe copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other third-party rights;
• impersonate another person, company, organization, or government entity;
• falsely imply endorsement, sponsorship, affiliation, or authorization;
• commit fraud, identity theft, phishing, or similar deceptive conduct;
• create intentionally deceptive content for fraud or malicious manipulation;
• create non-consensual intimate imagery;
• create sexual or exploitative content involving minors;
• promote or facilitate terrorism or violent extremism;
• harass, threaten, stalk, or unlawfully defame another person;
• distribute malware, viruses, ransomware, or other harmful code;
• attack or disrupt the Services;
• circumvent technical protections, access controls, quotas, or rate limits;
• perform unauthorized security testing;
• scrape or automate access in a manner that materially interferes with the Services;
• reverse engineer proprietary technology except where such restriction is prohibited by applicable law;
• use another person's likeness, voice, photograph, or identity without required authorization; or
• resell or redistribute access to HeyTop AI without our authorization.

We may reject requests, restrict functionality, remove content, suspend accounts, or terminate access where reasonably necessary to enforce these Terms, protect users or third parties, or comply with applicable law.

15. Browser Extensions

HeyTop AI may provide browser extensions or sidebar tools for supported browsers.

Such tools may allow users to access HeyTop AI functionality while viewing third-party websites.

Your browser or extension marketplace may request permissions before installing or operating the extension.

You are responsible for reviewing the requested permissions before installing or enabling the extension.

Your use of third-party websites remains subject to those websites' terms and privacy practices.

HeyTop AI is not responsible for the content, security, availability, or practices of third-party websites that we do not control.

16. Intellectual Property

The HeyTop AI website, HeyTop AI brand, logos, interfaces, software, code, designs, templates, databases, graphics, text, technology, and other platform materials are owned by PARALLAXIS CO., LIMITED or the applicable licensors and rights holders.

Except as expressly permitted under these Terms or applicable law, you may not copy, modify, sell, rent, sublicense, distribute, reverse engineer, reproduce, or commercially exploit such materials without prior authorization.

HeyTop AI does not acquire ownership of User Content that you legally own merely because you use the Services.

Third-party trademarks and model names remain the property of their respective owners.

17. Copyright and Rights Complaints

We respect intellectual property and other legal rights.

If you believe that content made available through HeyTop AI infringes your copyright, trademark, privacy, publicity, personality, or other legal rights, please contact us at:

Your notice should provide sufficient information to allow us to:

• identify the relevant material;
• understand the right allegedly infringed;
• verify your rights or authority; and
• reasonably investigate the complaint.

Where appropriate, we may remove content, restrict functionality, suspend an account, or take other reasonable measures.

18. Privacy and Data Protection

Our collection, use, processing, storage, disclosure, and protection of personal information and User Content are governed by our Privacy Policy.

By using HeyTop AI, you acknowledge that relevant information may be processed in accordance with our Privacy Policy and applicable data protection laws.

Our Privacy Policy forms an important part of these Terms.

19. Service Availability

We use reasonable efforts to maintain HeyTop AI's availability and reliability.

However, AI-powered Services depend on complex systems and third-party providers.

Accordingly, we do not guarantee that:

• the Services will always be uninterrupted;
• every request will succeed;
• every AI model will remain available;
• processing times will always remain consistent;
• files will always process successfully;
• every feature will be available in every country, region, browser, or device; or
• Generated Content will always meet your expectations.

We may temporarily restrict or suspend the Services due to:

• maintenance;
• upgrades;
• security issues;
• capacity management;
• technical incidents;
• third-party provider outages;
• changes to third-party AI models;
• regulatory requirements; or
• other reasonable operational needs.

Temporary service interruptions or short-term instability will not, by themselves, create an automatic right to a refund after a paid Service has been used, unless mandatory applicable law provides otherwise.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, HeyTop AI and the Services are provided on an “AS IS” and “AS AVAILABLE” basis.

We disclaim all express and implied warranties to the extent permitted by law, including warranties concerning:

• accuracy;
• completeness;
• reliability;
• continuous availability;
• merchantability;
• fitness for a particular purpose;
• originality;
• non-infringement; and
• suitability for a particular use.

AI systems may make mistakes.

You are responsible for evaluating Generated Content before relying on it or using it in circumstances that may affect you or others.

Nothing in these Terms excludes any warranty, right, or consumer protection that cannot legally be excluded under applicable law.

21. Limitation of Liability

To the maximum extent permitted by applicable law, PARALLAXIS CO., LIMITED, HeyTop AI, and their affiliates, directors, officers, employees, contractors, service providers, and partners will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or relating to your use of, or inability to use, the Services.

Such damages may include, without limitation:

• loss of profits;
• loss of revenue;
• loss of data;
• loss of content;
• business interruption;
• loss of business opportunities;
• loss of goodwill; or
• third-party claims.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

22. Suspension and Termination

We may restrict, suspend, or terminate access to an account or Service if we reasonably believe that:

• these Terms have been violated;
• applicable law has been violated;
• third-party rights have been infringed;
• an account presents a security risk;
• an account is involved in fraud;
• an account is associated with abusive chargebacks;
• a user is attempting to circumvent platform restrictions;
• a user is abusing the Services; or
• restriction is otherwise reasonably necessary to protect HeyTop AI, users, service providers, or third parties.

You may stop using HeyTop AI at any time and may cancel your subscription in accordance with these Terms.

Termination does not affect any obligations, liabilities, or payment responsibilities that arose before termination or any provisions that by their nature are intended to survive termination.

23. Changes to These Terms

We may update these Terms from time to time to reflect changes to:

• our Services;
• AI models;
• subscription plans;
• pricing;
• technology;
• security requirements;
• laws or regulations;
• third-party provider requirements; or
• business operations.

The latest version will be published on the HeyTop AI website, and the “Last Updated” date will be revised accordingly.

If a change materially affects user rights or obligations, we may provide additional notice where reasonably appropriate or required by applicable law.

Your continued use of the Services after the revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you should discontinue use of the Services.

24. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without prejudice to any mandatory consumer protection rights that apply to you and cannot legally be waived.

If a dispute arises between you and HeyTop AI or PARALLAXIS CO., LIMITED, we encourage you to first contact us and attempt to resolve the matter amicably at:

If the dispute cannot be resolved through good-faith discussion, the parties agree, except where mandatory consumer protection law provides otherwise, to submit the dispute to the courts of competent jurisdiction in the Hong Kong Special Administrative Region.

25. General Provisions

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to immediately enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent unless otherwise permitted by applicable law.

These Terms, together with our Privacy Policy and any additional terms expressly applicable to a particular Service, constitute the agreement governing your use of HeyTop AI.
